Terms of Service

1. About these terms
These terms are an agreement between you and Vezi Credit Solution (Pty) Ltd ("Vezi", "we", "us"). They govern your use of Vezi Credit Solution Partners: the partner website at partners.vezicreditsolution.com, the partner dashboard, and the client portal at secure.vezicreditsolution.com (together, "the platform").
By creating an account, using a referral link or uploading documents, you accept these terms, our Privacy Policy and our Cookie Policy. If you do not accept them, do not use the platform.
2. Who the platform is for
•Agents are people appointed by Vezi to consult with clients, run credit assessments and prepare rehabilitation quotes.
•Affiliates are referrers, such as car sales executives, who sign up to send potential clients to an agent.
•Clients are people who are referred to Vezi and use the client portal to register interest and upload documents.
Agents and affiliates are together called "partners". Sections 3 to 10 apply to partners; section 11 applies to clients; the rest applies to everyone. You must be at least 18 years old to use the platform.
3. Partner accounts
1You must give accurate, current and complete information, including your identity and banking details, and keep it up to date in your dashboard.
2You may hold only one account. It is personal to you and may not be shared, sold or transferred.
3You are responsible for everything done through your account. Keep your password secure and tell us immediately at info@vezicreditsolution.com if you think your account has been compromised. 4We may verify your identity and banking details before activating your account or releasing a payout, and may decline or close an account at our discretion.
4. Teams
Every affiliate belongs to exactly one team, led by an agent. Vezi assigns affiliates to teams and may move an affiliate to another team, for example when an agent leaves. Referrals already confirmed stay credited to the affiliate who made them.
5. Referrals and marketing
1A referral is a person who registers interest through your unique referral link or code. A referral is credited to the affiliate whose link the client used first, unless Vezi's records show otherwise.
2You may only refer people who have agreed to be contacted by Vezi. You may not refer yourself, your own household for the purpose of earning commission, or fictitious people.
3You must not send unsolicited electronic marketing (spam), and you must follow the Protection of Personal Information Act, 2013 (POPIA), the Electronic Communications and Transactions Act, 2002 (ECTA) and the Consumer Protection Act, 2008 (CPA) when promoting Vezi.
4You must not promise or guarantee any outcome, such as a higher credit score, the removal of a listing or approval for credit.
5You must not hold yourself out as Vezi's employee, or quote prices, unless you are an agent acting within section 8.
6You may only use marketing material, names and logos that Vezi has approved (see section 13).
6. Commission
1When commission is earned. An affiliate earns commission when a referred client's consultation fee has been paid to Vezi and confirmed. An agent earns commission when a client's consultation fee is paid and confirmed and, separately, when a client accepts and pays for a rehabilitation quote and the payment is confirmed.
2Confirmation. Vezi confirms payments by matching the client's payment reference and proof of payment against its bank records. Commission is not earned on unpaid, partly paid or unconfirmed amounts.
3Amounts. Commission amounts are set out in the commission schedule in your dashboard. Vezi may change the schedule on at least 14 days' notice. A change never reduces commission already earned.
4Refunds and reversals. If a client's payment is refunded, reversed or found to be fraudulent, the related commission is cancelled. If it has already been paid, Vezi may deduct it from future payouts.
5Queries. If you think a commission is missing or wrong, tell us within 30 days of the payout date it should have been part of. We will investigate and tell you the outcome.
7. Payouts
1Vezi pays confirmed commission every Friday, into a South African bank account in your own name. If a Friday is a public holiday, payment is made on the next business day.
2Commission confirmed by Thursday 23:59 is paid that Friday. Commission confirmed later is paid the following Friday.
3Affiliates are paid once their confirmed balance reaches R500. A smaller balance carries over to the next week. Agents have no minimum.
4We may hold a payout while we verify your banking details or investigate suspected fraud or a breach of these terms.
5Partners are independent contractors, not employees of Vezi. You are responsible for declaring your earnings and paying your own tax. We may ask for your tax number.
6If we pay you more than you are owed, we may correct it in a later payout.
8. Additional obligations for agents
1Prepare quotes only from Vezi's current pricing blocks. Do not offer discounts, charge extra fees or sell services Vezi does not provide.
2Record every client, consultation and quote on the platform, so that Vezi can track clients and pay commission correctly.
3Represent Vezi professionally and honestly, and follow Vezi's instructions on how services are described.
4Hand client queries about payments, refunds or complaints to Vezi.
9. Client information
1Partners may only access client information to help the client with Vezi's services. Agents see the information of their own clients; affiliates see only the status of their own referrals.
2You must not copy, download, share or keep client information outside the platform, or use it for any other purpose, including your own marketing.
3You must keep client information confidential during and after your time as a partner, and tell Vezi immediately if you suspect it has been accessed or disclosed without authority.
10. Payments are made to Vezi only
Clients pay Vezi directly, using Vezi's official bank account and the payment reference Vezi provides. Partners must never ask for or accept payment from a client in any form. Doing so is grounds for immediate termination and the forfeit of unpaid commission linked to that client.
11. Terms for clients
1Registering interest through a referral link only asks Vezi to contact you. It does not create an agreement for credit or rehabilitation services. Those services are provided under a separate quote and agreement with Vezi.
2Upload only your own documents, and make sure they are true and complete. Each private upload link is meant for you alone; do not share it.
3Vezi will never ask you to pay an agent or affiliate personally. Pay only into Vezi's official bank account, using the reference you were given. If anyone asks you to pay them directly, contact Vezi at info@vezicreditsolution.com. 12. Acceptable use
You must not:
•use the platform for anything unlawful, fraudulent or misleading;
•submit false referrals, documents or proofs of payment;
•try to access accounts, data or parts of the platform you are not authorised to use;
•copy, scrape, reverse engineer or overload the platform, or introduce malicious code;
•get around any security, attribution or payment-tracking feature.
13. Intellectual property
The platform, its software, content and the Vezi name and logos belong to Vezi or its licensors. Partners get a limited, non-exclusive, revocable right to use their referral links and Vezi-approved marketing material to promote Vezi while their account is active. You may not change Vezi's logos or create your own Vezi-branded material without written approval.
14. Suspension and termination
2We may suspend or close your account, with or without notice, if you breach these terms, if we suspect fraud or misuse, or if Vezi ends its partner programme.
3When an account closes, commission already earned is paid in the normal cycle, except where the account was closed for fraud or a material breach. Affiliate balances under R500 are paid out on closure, unless the closure was for fraud.
4We keep records after closure as described in the Privacy Policy, generally for 5 years.
15. Availability and changes to the platform
We aim to keep the platform available and accurate, but provide it "as is" and do not promise that it will be uninterrupted or error-free. We may change, add or remove features, and take the platform offline for maintenance.
16. Liability
1To the extent the law allows, Vezi is not liable for indirect, consequential or special loss, or for loss of profit, arising from your use of the platform.
2To the extent the law allows, Vezi's total liability to a partner in connection with these terms is limited to the commission paid to that partner in the 3 months before the claim arose.
3Nothing in these terms limits liability that cannot be limited by law, including your rights under the CPA where it applies, or liability for gross negligence or wilful misconduct.
17. Indemnity
Partners indemnify Vezi against claims, losses and fines that arise from their breach of these terms, their unlawful marketing, or their misuse of personal information.
18. Changes to these terms
We may update these terms. We will give partners at least 14 days' notice of material changes by email or in the dashboard. If you keep using the platform after the change takes effect, you accept the updated terms. If you do not, you may close your account.
19. Communications
You agree that we may communicate with you electronically, by email, SMS or dashboard notification, and that these communications meet any legal requirement for writing, as provided for in ECTA.
20. Governing law and disputes
These terms are governed by the laws of the Republic of South Africa. If a dispute arises, contact us first so we can try to resolve it within 20 business days. If it is not resolved, either party may approach a competent South African court. You consent to the jurisdiction of the Magistrates' Court, even if the amount claimed would otherwise exceed its jurisdiction.
21. General
These terms, the Privacy Policy, the Cookie Policy and the commission schedule are the whole agreement between you and Vezi about the platform. If any provision is invalid, the rest stays in force. A delay in enforcing a right is not a waiver. Partners may not transfer their rights under these terms. Vezi may transfer its rights to a successor business.
